The Program:

Even before the One Big Beautiful Bill Act (OBBBA), qualified small business stock (QSBS) were touted as one of the most powerful tax-saving tools available. By leveraging and stacking the QSBS benefits, astute planners can achieve significant tax savings for their clients. However, the QSBS rules contain several traps and pitfalls for the unwary.

In this presentation, Griffin Bridgers, J.D., LL.M. (Taxation) will cover how we can “mind our P’s and Q’s” when it comes to discussing and implementing the benefits of QSBS with our clients. Griffin will discuss the basics and hidden traps of key QSBS requirements, including:

  • Primary issuance, and what that means – especially as relates to per-issuer limitations
  • Property contributions for QSBS, and how such contributions affect the benefits and holding period
  • Limitations on ownership by pass-throughs
  • Prohibited professions, and the qualified trade or business rule
  • The qualified small business limitations on funding, and their qualitative and quantitative boundaries
  • Qualified rollovers, and questionable redemptions
